These Terms & Conditions (“Terms”) govern the purchase, download, installation, and use of the BricksMembers WordPress plugin (“Plugin”) and the website bricksmembers.com (“Website”), operated by Basel Media LP (“we”, “us”, “our”). By accessing or using the Plugin or Website, you agree to these Terms.
1. Intellectual Property & Licensing
All rights, title, and interest in and to the Plugin and Website, including but not limited to the BricksMembers name, logo, branding, design, documentation, marketing materials, and other content, are owned by Basel Media LP or its licensors.
When you purchase the Plugin, you are granted a personal, non-exclusive, non-transferable right to download and use the Plugin in accordance with these Terms. You may not resell, sublicense, repackage, or redistribute the Plugin, documentation, or any associated materials, nor present them as your own product or service, except where required by any applicable open-source licenses included with the Plugin.
Nothing in these Terms grants you any rights to use the BricksMembers trademarks, branding, or logos, or to imply any endorsement or affiliation with Basel Media LP.
2. Purchases, Downloads & Access
When purchasing the Plugin, you obtain, for the duration of your active license:
- Access to download the Plugin
- Access to Plugin updates
- Access to customer support, as described in these Terms
We reserve the right to modify, limit, or discontinue any part of the Plugin, Website, licensing system, or related services at any time. Licenses may not be resold, sublicensed, or shared independently of a project. Agencies and freelancers may use their license to install the Plugin on client websites as part of their services, provided the license itself is not transferred or resold to the client.
4. Refund Policy
We offer a 60-day money-back guarantee on all new purchases of the Plugin. If you are not satisfied for any reason, you may request a full refund within 60 days of your purchase, and we will refund you without requiring any explanation.
To maintain the fairness and integrity of this guarantee, refunds may be declined in cases of clear or abusive misuse, including but not limited to:
- Fraudulent, suspicious, or duplicate orders
- Excessive download, installation, or license activation activity inconsistent with normal use
- Redistribution, reselling, or sharing of the Plugin or license key
- Prior repeated refund requests for the same or related products
Refund requests made after the 60-day period are not eligible. Refunds apply only to the purchase price of the Plugin and do not cover any third-party fees or services.
4. Support
Support is available only to customers with an active license. Support is intended to help you use the Plugin as delivered and does not include:
- Custom development, custom features, or implementation for specific projects
- Debugging or maintaining your own custom code modifications
- Resolving server, hosting, or infrastructure issues
- Resolving conflicts caused by third-party themes, plugins, or custom code outside our control
We may limit, suspend, or refuse support at our discretion, particularly in cases of abusive behavior, unreasonable demands, or misuse of the support service.
5. Updates
Plugin updates are provided for the duration of your active license. We do not guarantee:
- Any specific release schedule or frequency of updates
- Backward compatibility with older versions of WordPress, PHP, or other software
- Compatibility with all themes, plugins, or hosting environments
- The continuation of any particular feature or functionality
Updates may add, modify, or remove features at any time. Updates are provided as a convenience and are not guaranteed for any particular period beyond your license term.
6. Warranty Disclaimer
To the maximum extent permitted by law, the Plugin and Website are provided “AS IS” and “AS AVAILABLE,” without any warranties of any kind, whether express or implied.
We specifically disclaim all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Performance, uptime, or reliability
- Accuracy, completeness, or suitability of the Plugin for any particular use case
No advice or information, whether oral or written, obtained from us shall create any warranty or guarantee not expressly stated in these Terms.
7. Limitation of Liability
To the fullest extent permitted by law, Basel Media LP shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with the use of, or inability to use, the Plugin or Website.
This includes, without limitation:
- Loss of data, content, or backups
- Loss of revenue, profits, or business opportunities
- Website downtime, corruption, or malfunction
- Incompatibility with themes, plugins, or server environments
- Security breaches or data loss related to your hosting or configuration
Our total cumulative liability for any claim related to the Plugin or Website shall not exceed the amount you paid for the Plugin in the twelve (12) months preceding the event giving rise to the claim.
8. Termination
We reserve the right to suspend or terminate your access to downloads, updates, or support if we reasonably believe that you have violated these Terms, engaged in misuse or fraud, or redistributed proprietary materials such as branding, documentation, or marketing content.
Termination of access does not affect any rights you may have under applicable open-source licenses for components included with the Plugin.
9. Governing Law
These Terms are governed by the laws of Ontario, Canada. Any disputes arising out of or in connection with these Terms, the Plugin, or the Website shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
10. Changes to These Terms
We may update or modify these Terms at any time. The latest version will always be available on the Website. Continued use of the Plugin or Website after changes are published constitutes your acceptance of the revised Terms.
